Assignment Details

Our client, A leading asset management company, is looking for an independent legal consultant mainly A Corporate commercial lawyer with M&A / Investing DD experience.

The Primary Roles involve -

1) Evaluate new business partnerships with vendors and subcontractors and involve in Mergers and Ac
2)Would be required
3)Represent the company in legal proceedings.
4)Design and oversee the company’s policy and position on legal matters.
5)Protect the company against legal risks and violations.
6)Examine the legal issues related to new products and services.
7)Guide management on regulatory and compliance issues to ensure compliance with legal regulations
8)Determine – with the help of tax attorneys – the tax implications and if they require special structuring.
9)Conduct due diligence

Capacity-
99% Remote working with a commitment of 1-2 days a week on an hourly basis.
A person with flexible timing and flexible attitude will be the best

Skills Required

1)Must have experience with mergers and acquisitions transactions
2)Substantial drafting experience, be able to lead closings and handle due diligence for deals.
3)Experiencing servicing public and private companies, private equity and other financial sponsors, boards of directors and special committees, and financial advisors.
4)Must have ability to review:
- NDAs
- SPAs
- Loan Docs
- Engagement/Investment Management Agreement Docs
- Docs related to our investment in securities etc
- Our disclaimers
- Bid/Offer Letters (Improve our templates for these letters)
- In live transactions, get involved in calls with lawyers on our behalf.
- Docs or forms, where needed, to deal with our regulators (Singapore)
