Assignment Details

Our client, a boutique consulting firm, is seeking a Subject Matter Expert – Executive Remuneration, who will  lead the design, evaluation, and execution of long-term incentive (LTI) and executive compensation programs for mid-sized and emerging organizations. The role partners closely with founders, boards, CHROs, and CFOs to provide expert guidance on executive compensation, benchmarking, governance, and regulatory compliance across Companies Act, SEBI SBEB & SE Regulations, FEMA, Income Tax, and cross-border grant norms.

Key Responsibilities

  • Design and evaluate ESOP/LTIP frameworks, including plan rules, vesting structures, and grant mechanics.
  • Conduct executive compensation benchmarking and recommend market-aligned pay structures.
  • Ensure regulatory compliance and prepare plan documents, resolutions, policies, and board presentations.
  • Lead end-to-end grant cycle execution—valuation coordination, cap table impact, grant letters, and filings.
  • Act as a trusted advisor on remuneration strategy, tax implications, and cross-border grant issues.

Capacity- Upto 3 days/week

 

Skills Required

  • Strong knowledge of ESOP/LTI design (ESOPs, RSUs, SARs, Phantom Stock).
  • Understanding of Companies Act, SEBI SBEB & SE Regulations, FEMA, and taxation norms.
  • Experience in benchmarking, compensation structuring, and drafting client-ready documents.
  • Ability to work with valuers, legal teams, auditors, and cross-functional stakeholders.
  • Strong analytical, communication, and advisory skills.

Preferred Experience

  • Experience in executive compensation or total rewards advisory (consulting, Big 4, ESOP advisory, legal/secretarial firms, HR COEs).
  • Hands-on exposure to ESOP/LTI design, valuation coordination, grant cycles, and cap table analysis.
