Our client, a leading International Social Impact and non-profit, is looking for a seasoned professional to coordinate and oversee the transition period for one of its entities.

Duration: 6 months
Overview: In this role, under the supervision of CARE International and its delegated members, you will be responsible for overseeing the process of winding down of CARE India (“CISSD"),including but not limited to: overseeing remaining CISSD employees, coordinating with legal, , insolvency and liability management vendors in accordance with their contractual agreements. You will work closely with legal advisors, financial experts, auditors, asset and liabilities management, and consultants, who would be representing CISSD before the government authorities, as necessary, to ensure a smooth and lawful closure of CISSD. This role will take direction from CARE International and its delegated members, who will lead the strategic direction and governance of all winddown activities and ensure necessary expertise is brought by their legal, finance and compliance teams. It is further clarified that you will not be authorized to take any decisions on behalf of CISSD, Care International and its delegates and will strictly work under their directions. Further, you will not be an authorized signatory on any documents to be furnished by CISSD, Care International or its delegated members.
Key Responsibilities:
Legal Compliance:
Coordinate with legal advisors and assist the CISSD team to file necessary documents, such as board resolutions, notices to creditors, donors and beneficiaries, and applications for closure with relevant authorities, in accordance with advice received from the legal advisors
Accompany the professional advisors appearing before government agencies on behalf of CISSD and provide updates to Care International and/or its designated members.
Financial Management:
In consultation with Care International and its designated members,
Develop, receive approval and implement a financial plan for winding down the non-profit's operations, including the plan for settling outstanding debts, grants, and liabilities as well as employee dues and other financial obligations.
Help engage insolvency professionals for the disposition of assets, including liquidation, transfer, or donations as per legal and ethical guidelines.
Communication and Stakeholder Management:
In consultation with Care International and its designated members,
Communicate with employees, , local donors, volunteers and other stakeholders regarding the company closure process.
Address inquiries, concerns, and feedback from stakeholders with transparency and empathy throughout closure proceedings
Adhere to communications protocols to ensure fairness and appropriate levels of transparency with external stakeholders; exercise the highest standard of confidentiality
Employee Transition:
Partner with staff lead at CISSD to develop a plan for transitioning employees and volunteers while ensuring compliance with labor laws and ethical standards in managing personnel transitions.
Documentation and Record-keeping:
Maintain accurate records of all transactions, communications, and legal documents related to the closure.
Additional terms:
All travel and accommodation expenses, in respect of discharging the above duties, will be arranged by Care International via its authorized vendors and paid directly by Care International.
Any other associated out of pocket expenses will be re-imbursed by Care International upon furnishing of bills/receipts, within 10 days of billing.
*Prior experience in managing finance and admin for an organisation is a must
*A degree in Finance (MBA, CA) and/or as a Company Secretary will be a huge plus
*Strong project management skills and ability to handle multiple stakeholders both internal and external
*Transition Management: Experience in overseeing organizational transitions, preferably in the non-profit sector.
*Legal Compliance-Strong understanding of legal requirements and experience working with legal teams
*Stakeholder Engagement- proven track record of effectively communicating with diverse stakeholders and managing relationships.
*Risk Assessment-Experience in identifying and mitigating risks associated with organizational changes.
