Our client, a leading HR consulting firm, is seeking a Senior Company Secretary with extensive experience in NBFCs to conduct functional assessments.
Key Responsibilities
1-Conduct in-depth functional assessments of the Company Secretarial function within NBFCs
2-Evaluate compliance with RBI regulations, Companies Act, SEBI (where applicable), and other statutory requirements
3-Assess effectiveness of corporate governance frameworks, board processes, and committee structures
4-Review policies, SOPs, compliance calendars, and regulatory filings
5-Identify gaps, risks, and improvement areas in secretarial and compliance practices
6-Benchmark current practices against industry best practices
7-Prepare structured assessment reports with actionable recommendations
8-Interact with senior leadership, board members, and compliance stakeholders
9-Support the HR consulting team with expert insights during presentations or discussions
1-Strong expertise in NBFC regulatory and compliance frameworks
2-Deep knowledge of Companies Act, RBI guidelines, corporate governance norms
3-Proven experience handling board and committee matters in NBFCs
4-Excellent analytical and assessment capabilities
5-Strong documentation and reporting skills
6-High level of professional judgment and confidentiality
7-Ability to work independently in a short-duration, high-impact engagement
