We are looking for an independent consultant who can help support a $2.1 bn carve out from a large health care company. The consultant would be required to
• Coordinate divestiture and transition planning of business operations and administrative functions across countries.
• Develop separation processes that sets up companies for success and design strategies to fundamentally redesign the operating models of businesses.
• Design approaches to create simple and digitally-enabled processes for targeted activities that drive the greatest value.
• Lead cost analysis, transition service agreements (TSA), Day 1 close, order-to-cash process design based on implications of product registration issues and legal entity setup, asset transfer, and consolidation and management reporting.
• Facilitate workshops to develop project objectives, scope and strategy and documentthe same to ensure alignment with stakeholders.
• Detailed Project Management and Day to Day Program Management to support the design, development and implementation of project related activities across various work streams including Target Operating Model Design and Implementation, Business Performance Management, Process Design and Implementation, Systems Design and Implementation, Organization Design and Implementation, Shared Services Design and Implementation and Shared services outsourcing/off-shoring.
• Facilitate regular project meetings including tracking and reporting of risks and issues. Ensure timely delivery of key milestones.
• Coordinate with client in all functional areas, such as IT, Supply Chain and Finance.
• Perform complex data analysis and make independent decisions.
• Responsible for recommendations and implementation of processes and systems to support accurate accounting practices.
• Ensure controls underpinning the production of financial data are appropriately designed and operate effectively.
• Create effective presentation material for workshops and stakeholder engagements and training material for new/changed processes.
The Consultant would be required to work out of Switzerland for most of the project duration
Strong knowledge and experience in carve outs and some level of domain expertise across finance function
Experience as a M&A management consultant with experience in:
- divestment/separation of companies and setting up standalone entities covering all functions including Finance, IT, HR, Supply Chain and Service
- Separation Planning, Organizational restructuring, Business Model development, Process optimization,TSA/SLA, Day 1 Planning and Execution, 100-Day Planning, Post-close implementation, Change Management and Performance Tracking
- Project Management and Process Development including creation of detailed project plans, monitoring activities and creating reports for senior leadership
Excellent client relationship and communication skills.
Strong organizational and presentation, analytical, fact-finding and problem solving skills
Multi-functional business services experience (IT, HR, Finance). Industry background -Pharma, Medical Devices, Healthcare or FCMG
